Terms of Service

These Terms of Service ("Terms") govern your access to and use of the brain-tree.ai website and services ("Services") provided by Braintree, operated by Nadav Avisrur ("we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old (or 13 years old if you are located in the United States) to use our Services. By using our Services, you represent that you meet this age requirement.

2. Account Registration

To access certain features, you must create an account using a supported authentication provider (GitHub or Google). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Your Content

You retain full ownership of any content you create, upload, or store through our Services, including brain structures, files, and configurations ("Your Content"). By using our Services, you grant us a limited, non-exclusive, worldwide license to host, store, display, reproduce, and process Your Content solely for the purpose of providing the Services to you. This includes transmitting Your Content to third-party AI services (currently Anthropic Claude API) for brain generation, structure creation, and content processing as a core function of the platform.

You represent that you have the necessary rights to grant this license and that Your Content does not infringe any third party's intellectual property or other rights.

4. AI-Generated Content

Braintree uses artificial intelligence (Anthropic Claude API) to generate brain structures, content files, and execution plans. AI-generated content is provided "as is" without guarantee of accuracy, completeness, or fitness for any particular purpose. You are responsible for reviewing and validating all AI-generated content before relying on it. AI-generated content may not be eligible for copyright protection under applicable law.

5. Acceptable Use

You agree not to:

Use the Services for any illegal or unauthorized purpose
Attempt to interfere with or disrupt the Services or servers
Upload malicious code, viruses, or harmful content
Scrape, crawl, or use automated tools to extract data from the Services without permission
Impersonate another person or entity
Use the Services to send spam or unsolicited communications
Attempt to reverse engineer, decompile, or disassemble any part of the Services
Use the Services to develop a competing product
Upload content that is illegal, defamatory, obscene, or infringes on any intellectual property rights

6. Free and Paid Plans

We offer both free trial and paid subscription plans. Free trials are subject to time limits (7 days) and usage limits. To upgrade to a paid plan, contact us at dev@brain-tree.ai.

Trial data deletion: When your free trial period expires, your account will be locked and all brain data (including files, execution plans, and session logs) will be permanently deleted. This action is irreversible. You will receive an email reminder before your trial ends. To preserve your data, upgrade to a paid plan before your trial expires.

Auto-renewal: Paid subscriptions automatically renew at the end of each billing period at the then-current price. You will be charged the recurring fee unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

Refunds: If you are unsatisfied with the Services, you may request a refund within 14 days of your initial purchase by contacting support@brain-tree.ai. Refunds for renewal charges are handled on a case-by-case basis. No refunds are provided for partial billing periods.

7. Open Source Components

Portions of Braintree are available as open source software under the MIT License. Your use of open source components is governed by the applicable open source license, not these Terms.

8. Intellectual Property

The Services, including the website design, logos, and branding, are owned by Braintree and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

9. Copyright Infringement (DMCA)

If you believe that content on our platform infringes your copyright, please send a notice to dev@brain-tree.ai with: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED CONTENT SHOULD NOT BE RELIED UPON AS PROFESSIONAL, LEGAL, FINANCIAL, OR MEDICAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINTREE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Braintree and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms or if required by law. For non-urgent violations, we will make reasonable efforts to notify you and provide an opportunity to remedy the issue before termination. You may delete your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. Sections 3, 4, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the courts of Tel Aviv-Jaffa, Israel.

Before initiating any formal proceedings, you agree to attempt to resolve disputes informally by contacting us at dev@brain-tree.ai. We will try to resolve the matter within 30 days.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Braintree.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.
Force Majeure: We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or by posting a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you should stop using the Services and delete your account.
